Experienced Investor Funds (“EIF”)

Structure:


  • EIFs can be established using a variety of legal entities - a private limited liability company, a public limited liability company, a protected cell company, a limited partnership, a unit trust and any form of legal entity established in any EEA State.
  • May be open or closed-ended
  • Is an entity regulated by the Gibraltar Financial Services Commission
  • EIFs may appoint a Custodian which need not be situated in Gibraltar
  • EIFs Administrator must be authorised by the Gibraltar Financial Services Commission and must be situated in Gibraltar.

EIFs are restricted to the following participants:


  • A person or partnership whose ordinary business or professional activity includes acquiring, underwriting, managing, holding or disposing of investments, whether as principal or agent, or the giving of advice concerning investments;
  • Corporations, trusts, partnerships and unincorporated associations with net assets in excess of €1,000,000;
  • An investor whose net worth, or joint net worth with that investor’s spouse, is greater than €1,000,000, excluding the investor’s principal place of residence; and
  • An investor who invests a minimum of €1,000,000 in the EIF.

Benefits:


  • No restriction on the type of investments EIFs may make
  • EIFs may apply to the Commissioner of Income Tax for an exemption from tax on their investment profits
  • An EIF is a regulated entity by the Gibraltar Financial Services Commission
  • They are easily and efficiently established with deemed authorisation taking place following the provision of a legal opinion verifying compliance with all legal requirements
  • No geographic restrictions
  • No exchange controls
  • EIFs may be established as Protected Cell Companies which allow for segregation of assets and liabilities of a sub-fund from other sub-funds under the umbrella of an EIF.
  • There is a wide variety of independent local EIF Directors available in Gibraltar for appointment.
